(g) Refunds: All one-time Subscription Content sales are final, and no refunds, exchanges, or credits will be provided for any reason.

Software:
For Software that you have downloaded from MatchVue related to the use of the service:
(a) License: MatchVue grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the Software on each Digital Device connected to the service. All other rights are reserved to MatchVue, its licensors, or suppliers.
(b) Restrictions: You may not rent, lease, sell, sublicense, assign, distribute, or transfer any portion of the Software. You may not reverse engineer, decompile, disassemble, or modify the Software. Copying, modifying, or tampering with the Software is prohibited. Attempts to defeat or circumvent software protection mechanisms are not allowed.
(c) Data Maintenance, Support, and Software Updates/Changes: MatchVue may provide customer support and software upgrades, enhancements, or modifications at its discretion. MatchVue may collect non-personal information regarding your Digital Devices during installation or use of the Software. MatchVue may change, suspend, or discontinue any aspect of the Software at any time without notice. MatchVue may impose limits on features and services or restrict access without notice. MatchVue reserves the right to delete data from servers or change data categories at any time. MatchVue is not obligated to provide new, enhanced, or additional support. MatchVue may connect remotely to your Digital Devices for support purposes.
(d) Other Users: You are allowed to view content on up to 5 different Digital Devices, but only on 1 Digital Device at a time. Circumventing this limit is a breach of these terms and may result in cancellation of the service. You are responsible for ensuring compliance with these terms by any other user of your Digital Devices.
Ownership and Copyright:
Except for the limited rights explicitly granted to you under these Terms, all rights, title, interest, and intellectual property rights in and to:

You may cancel your recurring subscription to Subscription Content at any time by notifying us. Cancellation will be effective as of the end of the last subscription period for which you have already paid.
LIMITATION OF LIABILITY:
(a) Not applicable to residents of Québec: To the maximum extent permitted by applicable law, MatchVue and its affiliates, licensors, suppliers, and agents (collectively referred to as “MatchVue Parties”) shall not be liable to you or any third party for:
(i) Any direct, indirect, incidental, special, consequential, economic, or punitive damages arising from the use of MatchVue, including but not limited to loss of profit or revenue, financial loss, loss of business opportunities, loss, destruction, interception, misdelivery, or alteration of data, files, software, or other information, breach of privacy or security, property damage, personal injury, death, or any other foreseeable or unforeseeable loss; or
(ii) Any losses, claims, damages, expenses, liabilities, or costs resulting directly or indirectly from any claim that the use or intended use of the MatchVue service infringes the intellectual property rights or contractual rights of any third party.
(b) Applicable only to residents of Québec: Except for damages resulting from MatchVue’s own acts, MatchVue Parties shall not be liable to you or any third party for:
(i) Any damages arising from the use of MatchVue, including but not limited to loss of profit or revenue, financial loss, loss of business opportunities, loss, destruction, interception, misdelivery, or alteration of data, files, software, or other information, breach of privacy or security, or property damage;
(ii) Any losses, claims, damages, expenses, liabilities, or costs resulting directly or indirectly from any claim that the use or intended use of the MatchVue service infringes the intellectual property rights or contractual rights of any third party.
ARBITRATION:
Not applicable to residents of Québec: Unless otherwise agreed, any claim, dispute, or controversy arising out of or relating to these Terms, the MatchVue service, or any oral or written statements, advertisements, or promotions relating thereto shall be determined by final and binding arbitration to the exclusion of the courts. Arbitration will be conducted in the province in which you reside, on a simplified and expedited basis by one arbitrator under the current laws and rules relating to commercial arbitration. MatchVue will cover all reasonable costs associated with arbitration. Arbitration will be conducted in accordance with MatchVue’s Arbitration Protocol.

These Terms are governed exclusively by the laws of the province in which you reside. By using MatchVue, you submit to the jurisdiction of the courts of Ontario. Please note that your rights and remedies may vary by province. These Terms, as amended from time to time, any applicable Subscription Terms, any other documents referenced herein, and any rules, policies, guidelines, or other agreements posted on MatchVue’s website constitute the entire agreement between MatchVue and you for your use of the service. Neither party’s failure to insist upon or enforce strict performance of any provision of these Terms does not waive any provision or right. If any provision of these Terms is deemed void or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The provisions regarding Limitation of Liability, Indemnification, Arbitration, and Notices survive cancellation of the service.
If you are dissatisfied with MatchVue or these Terms, your sole remedy is to stop using MatchVue, destroy all materials obtained from MatchVue, and any copies made thereof.

You must not disrupt the MatchVue service or interfere with computer networking or telecommunication services. Additionally, transmitting harmful software or viruses is prohibited. You are solely responsible for the security of your digital devices and any data stored on them. Using rooted or jailbroken devices to access MatchVue is not permitted. It is recommended to avoid enabling file or printer sharing, and if making files or services available remotely, strong passwords should be used.
VIOLATION OF THIS ACCEPTABLE USE POLICY:

Content Usage Restrictions:
(a) General: MatchVue and the Content are for your personal, non-commercial use, entertainment, and enjoyment. You may not reproduce, duplicate, copy, translate, broadcast, publicly display, sell, transmit, license, sublicense, publish, or modify any of MatchVue or the Content without the prior written consent of the owner. Distribution of copies of Content or materials found on MatchVue in any form (including by email or other electronic means) is prohibited without the prior written consent of the owner. You may encourage others to access the information themselves on MatchVue and to find it independently.
(b) Links: We welcome links to the homepage of MatchVue. You may establish a hypertext link to the homepage of MatchVue provided that the link does not state or imply any affiliation, connection, sponsorship, or approval of your site by MatchVue. The appearance, position, and other aspects of the link must not damage or dilute the goodwill associated with MatchVue or its trademarks. Framing or inline linking to MatchVue or any portion of it is not permitted.
Submissions and Postings:
For any content that you upload, post, transmit, distribute, or otherwise make available for inclusion on MatchVue (your “Contributions”), you must be, or have first obtained permission from, the rightful owner of Contributions that you post. You acknowledge and agree that any of your Contributions will be treated as non-confidential and non-proprietary. By submitting your Contributions, you grant MatchVue a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, fully sub-licensable, and transferable license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform, and publicly display your Contributions. You waive all moral rights in those Contributions. MatchVue may monitor or investigate any of your Contributions posted to MatchVue and may access or preserve your Contributions to comply with legal processes, operate MatchVue, ensure compliance with these Terms, or protect itself, its customers, or the public. MatchVue may, without notice or liability, move, remove, edit, delete, or refuse to post any of your Contributions that it decides is unacceptable, undesirable, or in violation of any law or these Terms.
Prohibited Activities:
Your use of MatchVue, the Service, the Content, and any of your Contributions to MatchVue must comply with these Terms, all applicable laws, and our Acceptable Use Policy.
Responsibility for Minors:
You must be of the age of majority in your jurisdiction in order to use MatchVue. If you have authorized a minor to use MatchVue, you are fully responsible for controlling the minor’s access to and use of MatchVue, as well as the consequences of any misuse by the minor. Some areas of MatchVue and some of the Content may include material that is inappropriate for minors.
Suspension and Cancellation:
(a) By MatchVue: MatchVue may restrict, block, suspend, or cancel any or all of your use of MatchVue, the Service, or your account if you fail to comply fully with any of these Terms or any other terms, agreements, or policies that apply to MatchVue. Any cancellation will not relieve you of any obligation to pay fees accrued prior to cancellation.
(b) Subscription Content: If you subscribe to MatchVue directly, MatchVue may discontinue any Subscription Content that you subscribe to upon no less than 30 days’ advance written notice to you. You may cancel your recurring subscription to Subscription Content at any time by notifying us or by login into your account. Cancellation will be effective as of the end of the last subscription period for which you have already paid.
Please note: No refund will be issued once subscription renewed. Please cancel your subscription prior to the renewal date. To cancel your subscription, log in into your account and click on my account and select the cancel option under My Membership.
LIMITATION OF LIABILITY:
(a) Not applicable to residents of Québec: To the maximum extent permitted by applicable law, MatchVue and its affiliates, licensors, suppliers, and agents (collectively referred to as “MatchVue Parties”) shall not be liable to you or any third party for:
(i) Any direct, indirect, incidental, special, consequential, economic, or punitive damages arising from the use of MatchVue, including but not limited to loss of profit or revenue, financial loss, loss of business opportunities, loss, destruction, interception, misdelivery, or alteration of data, files, software, or other information, breach of privacy or security, property damage, personal injury, death, or any other foreseeable or unforeseeable loss; or
(ii) Any losses, claims, damages, expenses, liabilities, or costs resulting directly or indirectly from any claim that the use or intended use of the MatchVue service infringes the intellectual property rights or contractual rights of any third party.
(b) Applicable only to residents of Québec: Except for damages resulting from MatchVue’s own acts, MatchVue Parties shall not be liable to you or any third party for:
(i) Any damages arising from the use of MatchVue, including but not limited to loss of profit or revenue, financial loss, loss of business opportunities, loss, destruction, interception, misdelivery, or alteration of data, files, software, or other information, breach of privacy or security, or property damage;
(ii) Any losses, claims, damages, expenses, liabilities, or costs resulting directly or indirectly from any claim that the use or intended use of the MatchVue service infringes the intellectual property rights or contractual rights of any third party.
ARBITRATION:
Not applicable to residents of Québec: Unless otherwise agreed, any claim, dispute, or controversy arising out of or relating to these Terms, the MatchVue service, or any oral or written statements, advertisements, or promotions relating thereto shall be determined by final and binding arbitration to the exclusion of the courts. Arbitration will be conducted in the province in which you reside, on a simplified and expedited basis by one arbitrator under the current laws and rules relating to commercial arbitration. MatchVue will cover all reasonable costs associated with arbitration. Arbitration will be conducted in accordance with MatchVue’s Arbitration Protocol.

OTHER IMPORTANT TERMS:
These Terms are governed exclusively by the laws of the province in which you reside. If you reside outside of Canada, the laws of the province of Ontario and the laws of Canada applicable therein govern these Terms. By using MatchVue, you submit to the jurisdiction of the courts of Ontario. Please note that your rights and remedies may vary by province. These Terms, as amended from time to time, any applicable Subscription Terms, any other documents referenced herein, and any rules, policies, guidelines, or other agreements posted on MatchVue’s website constitute the entire agreement between MatchVue and you for your use of the service. Neither party’s failure to insist upon or enforce strict performance of any provision of these Terms does not waive any provision or right. If any provision of these Terms is deemed void or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The provisions regarding Limitation of Liability, Indemnification, Arbitration, and Notices survive cancellation of the service.
If you are dissatisfied with MatchVue or these Terms, your sole remedy is to stop using MatchVue, destroy all materials obtained from MatchVue, and any copies made thereof.
MATCHVUE Acceptable Use Policy

INTRODUCTION:
When using MatchVue and any associated products, content, applications, or services, you must comply with all applicable laws and our policies, rules, and limits, including this AUP. This AUP supplements and is incorporated into the MatchVue Terms of Service, available at www.matchvue.com.
PROHIBITED ACTIVITIES:
You may not use MatchVue for any of the following activities:
- Engage in any illegal activities, including soliciting or gaming schemes.
- Attempt to avoid charges for usage.
- Participate in fraudulent activities or impersonate any person or entity.
- Invade another person’s privacy or collect personal data about other users.
- Access any computer, software, or data without consent.
- Upload, distribute, or otherwise make available copyrighted material without permission.
- Use MatchVue for commercial purposes without authorization.
- Interfere with the ability of others to use MatchVue.
- Operate a server in connection with MatchVue.
- Impersonate any person or entity.
- Forge headers or manipulate identifiers.
- Scan a person’s computer without consent.
UNLAWFUL OR INAPPROPRIATE CONTENT:
MatchVue reserves the right to remove or refuse to post any content that it deems unacceptable, including:
- Obscene, profane, or pornographic content.
- Defamatory or fraudulent statements.
- Threatening or harassing statements.
- Content that violates privacy or intellectual property rights.
- Content that promotes or incites hatred.
- Any content that violates laws or regulations.
For purposes of this AUP, “content” refers to all forms of communication, including text, graphics, executable programs, audiovisual recordings, and more.
SECURITY:
You are responsible for ensuring the security of the MatchVue service on your digital devices and account. This includes preventing unauthorized access through any means, such as wireless or wired networking. MatchVue must not be used to breach the security of another user or attempt to access their equipment, software, or data without consent. Furthermore, attempting to circumvent user authentication or network security measures is prohibited. Use or distribution of security-compromising tools is also not allowed.
You must not disrupt the MatchVue service or interfere with computer networking or telecommunication services. Additionally, transmitting harmful software or viruses is prohibited. You are solely responsible for the security of your digital devices and any data stored on them. Using rooted or jailbroken devices to access MatchVue is not permitted. It is recommended to avoid enabling file or printer sharing, and if making files or services available remotely, strong passwords should be used.
VIOLATION OF THIS ACCEPTABLE USE POLICY:
MatchVue reserves the right to monitor and investigate any content transmitted using the service. If MatchVue determines that there has been a violation of this Acceptable Use Policy (AUP), responsive actions may be taken, including suspension or cancellation of the service or account. MatchVue shall not be liable for any responsive actions taken. These actions are not exclusive remedies, and MatchVue may take any other legal or technical action deemed appropriate.
